We work closely with our portfolio clients. Our multi-disciplinary team enables us to draw on the diverse expertise of our professionals.

Our management team includes professionals that have significant experience managing investment banking operations at the highest levels, technology and development professionals, and transactional legal and regulatory experience.

Gordon McBean, CFA

Co-Founder & Chairman

Co-Founder and Chairman, Digital Offering, LLC.  He is also Chairman and CEO of Cambria Capital, LLC, a FINRA member full-service securities brokerage, registered investment advisor and technology driven investment banking firm. 

 

Mr. McBean is also the former President of Euro Pacific Capital, Inc., a FINRA Member that is a full service investment bank. Prior to joining Euro Pacific, Mr. McBean was Director of Research at Roth Capital Partners, a FINRA member investment bank dedicated to the small-cap public market.

A native of Scotland, Mr. McBean has been active in the securities industry for over 30 years and has served in various capacities at Lehman Brothers, Wells Fargo, Van Kasper and Friedman, Billings, Ramsey.

 

He received his B.A. in Business Economics from Paisley University in Scotland and is a CFA Charterholder.

 

He is a member of the CFA Institute and the CFA Society of Orange County and holds FINRA 7, 24, 27, 63, 65, 79, 86, 87 and 99 licenses.

Mark Elenowitz

Managing Director

Mark Elenowitz is responsible for advising clients on structuring, financings and acquisitions. He has extensive experience in advising clients on compliance, capital structure, and capital markets navigation including acting as a member of the board of directors.

 

For over 29 years he has worked with numerous public and private companies.  Prior to Digital Offering, Mr. Elenowitz was co-founder of Tripoint Global Equites, LLC, a global investment bank focused on assisting fast growing companies.

Mr. Elenowitz has assisted numerous companies in a "soup-to-nuts" process, preparing them for life as a public company and advising them on an ongoing basis as to further rounds of financing, strategic acquisitions and a broader investor base via a listing on a higher securities exchange or market. He is an expert in capital markets investigative analysis of trading activity, short selling and market activity providing investigative services for Board of Directors, Special Committees and public companies.

 

In addition, he is the President of Horizon, a global software provider, that developed an end-to-end suite of blockchain technology solutions for the issuance and secondary trading of both registered and exempt offerings of digital securities including KYC/AML, custody and clearing and trading.

 

Mr. Elenowitz is the recipient of several entrepreneurial awards and has been profiled in BusinessWeek and CNBC, as well as several other publications. Mr. Elenowitz is a member of the board of directors of the Long Island Capital Alliance and the National Investment Banking Association.  

 

He is a graduate of the University of Maryland School of Business and Management with a B.S. in Finance.

 

He holds Series 24, 62, 63, 79, 82 and 99 licenses.

Mike Boswell

Managing Director

Mike Boswell is a Managing Director of Digital Offering, LLC.  Prior, Mr. Boswell was co-founder, President, Chief Operating Officer and Chief Compliance Officer of Tripoint Global Equites, LLC, a global investment bank focused on assisting fast growing companies.  

 

He is also a Managing Director of TriPoint Capital Advisors, LLC. Mr. Boswell provides high-level financial services to start-up businesses and small to mid-sized companies, including holding executive and CFO positions with client companies. With TriPoint Capital Advisors, he has assisted numerous companies by advising them on corporate finance, corporate structure, corporate governance, mergers and acquisitions, SOX 404 compliance, implications of various SEC rules and FASB Emerging Issues Task Force issues as they relate to private placements, SEC reporting and disclosure requirements and employee option programs.

Mr. Boswell is currently CFO of Mission Solutions Group, a privately held defense sector company. In addition, he is also the CFO of Horizon, a blockchain software applications company. He was previously CFO of Ocean Smart International and has advised numerous public companies on accounting and valuation issues.

 

Prior to the founding of TriPoint, Mr. Boswell held a number of executive positions focusing on business development and management consulting. He also spent eight years as a senior analyst and senior engineer.

 

Mr. Boswell earned a M.B.A. from Johns Hopkins University and a B.S. degree in Mechanical Engineering from University of Maryland.

 

He holds the Series 24, 62, 63, 79, 82 and 99 licenses.

Michael Epstein is an Investment Banking Associate of Digital Offering, LLC.  Prior to joining Digital Offering, Michael had been an Investment Banking Associate at Tripoint Global Equites, LLC, a global investment bank focused on assisting fast growing companies since 2018.  Michael focuses on modeling, presentation analysis, KYC/AML compliance and diligence.

 

He earned a B.S. degree in Finance from the Kelley School of Business at Indiana University.

 

Michael holds a Series 79, Series 62 and Series 63 licenses.

Walter Cruttenden

Advisory Board Member

Walter Cruttenden is a financial markets innovator, serial entrepreneur, active investor in private and public emerging growth companies – and passionate about history and astronomy.

 

In his early career, Cruttenden founded and served as CEO of two well-known investment banking and brokerage firms; Cruttenden Roth (now Roth Capital, one of the largest underwriters of equity capital for emerging growth companies), and E*Offering, formerly the investment banking arm of E*Trade Securities. As CEO, Walter led the first to a $50+ million in revenues, and $10+ million in annual profits, and the second to $100 million+ in revenue run rate, which sold for $300+ million in 18 months from inception.

 

Walter also co-founded SRS Laboratories (NASDAQ: SRSL), after buying the nascent acoustic technology from Hughes, and developing it into an independent company focused on sound solutions. When he is not engaged in banking and technology, Walter serves as the Director of the Binary Research Institute in Newport Beach, California, where he researches the cause and consequences of solar system motion.

 

As part of his cosmological work Walter has authored many articles and other media including Ancient Cosmology: A Map of the Future (Noetic Sciences), the alternative history book Lost Star of Myth and Time, the award winning documentary film, The Great Year (narrated by James Earl Jones) and children’s book, The Great Year Adventures: with Tommy the Time-Traveling Turtle.

 

In his efforts to explore the subject of solar system motion and its concomitant cyclical effects Walter hosts the regular pod cast series, The Cosmic Influence, and organizes the annual Conference on Precession and Ancient Knowledge (CPAK), which features authors and scientists from around the world discussing the implications of celestial cycles on biology, archaeology, anthropology and related sciences.

Leveraging a strong educational background in finance, Matt founded Hayden Communications in 1996, which merged in 2011 with MZ Group, the World’s Largest independent Investor Relations Firm. The organization is comprised of over 300 dedicated professionals who provide exceptional capital markets advice and exposure, along with unparalleled customer service for over 550 public companies, while upholding the highest level of integrity.

 

Mr. Hayden has extensive experience in every facet of investor and shareholder relations and has personally worked on the accounts of over 200 public and private companies. This group successfully raised over $12 Billion in equity to fund their growth plans.

 

Mr. Hayden has scheduled, managed, and participated in thousands of investor meetings for client roadshows and maintains relationships with a myriad of issuers, brokers, family offices, funds and analysts covering multiple industry sectors.

 

Matt is an active investor who employs a multi-strategy discipline and participates in numerous public and private offerings each year.

 

Matt is married to his wife Julie; they have a daughter Gianna and reside in Orange County, California.

Mr. Holder has been serving as Chairman of the Board, Chief Executive Officer and Founder of ECC Capital Corp a Real Estate Investment Trust since October 2001.

 

Before Founding ECC Capital, Mr. Holder was Founder, Chief Executive Officer and Chairman of the Board of Park Place Capital Corporation, an asset management and servicing company. 

 

Mr. Holder served in a variety of executive positions within the consumer finance, and mortgage industry. He has over 35 years of diversified lending experience including the successful completion of several full-scale de novo startups, and two Initial Public Offerings.

Mr. Ng emanates from an old-established family based in Penang, Malaysia. He operates as a Media Sector financier. He was instrumental in securing joint venture partnerships between Pacific Media (LSE: PCM) and United Artists Theatres (renamed Regal Entertainment Group (NYSE: RGC)) and Television Broadcasts (TVB) of Hong Kong. He was Co-CEO of United International Asia Holdings, a partnership between United International Holdings Inc. (UIH) (since renamed Liberty Global, NASDAQ: LBTYA) and his family, a US cable company, to enter the Asian market.

 

He co-founded and became Vice Chairman of TVB Superchannel Europe in 1992, which has grown to become Europe’s leading Chinese language broadcaster. He also was the CEO of Pacific Media PLC (LSE: PCM) a home shopping company and initiated the purchase of TV Media from H&Q Asia Pacific and built the company to over US$450 mm in market capitalization. He subsequently sold control of the company to the Koo family from Taiwan.

 

He also owned a 50% stake in HongKong SuperNet, the first Hong Kong based ISP which was then sold to Pacific Internet (NASDAQ:PCNTF). Mr. Ng has many years of experience with internet start-ups and e-commerce companies in Asia. He was Chairman and founder of Asiacontent, (NASDAQ:IASIA), one of the first Asian internet companies to list in the US that was the joint venture partner of NBCi, MTVi, C-NET, CBS Sportsline and DoubleClick in Asia.

 

Mr.Ng was also one of the initial investors and founder of E*TRADE Asia, a partnership with E*TRADE Financial Corp (NYSE: ET). He is also a founding shareholder of MTV Japan, with H&Q Asia Pacific and MTV Networks (a division of Viacom Inc.). He was Chairman of China Broadband Limited (since renamed to You On Demand (NASDAQ: YOD)) from 2007 – 2010.

 

He is currently Chairman of China Cablecom Limited (CABL). He served as a Senior Advisor to Warner Music Group Inc. (NYSE: WMG). He is currently on the Board of the Eton College Campaign Committee.

John Payne

John Payne is an experienced technology industry CEO with a track record in Software as a Service, consumer and small business Internet services, enterprise software, network and application security, wireless and the mailing industry. He currently serves as the Chairman and President of SimpleAir, Inc., a technology licensing company active in the smartphone and other mobile markets and is an active investor and advisor to early stage companies. 

 

Mr. Payne is the former Chairman and CEO of Stamps.com (NASDAQ: STMP), a profitable pioneering “software-as-a-service” provider that leads the market for postage delivered over the Internet from the US Postal Service. While at Stamps, he led the development of the company’s operating business and the company’s $65 million IPO and a $365 million secondary offering co-managed by Goldman Sachs and Salomon Smith Barney. In addition to his experience at Stamps,

 

Mr. Payne served as CEO of other public and private technology companies, including Preventsys, a provider of network security and regulatory compliance (Acq’d: NYSE: MFEE), enterprise content management software provider Day Software (SWX: DAYN Acq’d: Adobe), two companies in the financial services regulatory compliance space, FMI (Acq’d: Nasdaq: PROI) and LoanStar (Acq’d: Bankers Systems, Inc./Wolters Kluwer AEX: WLSNc.AS) plus other early stage, venture capital backed software and technology companies. 

 

Mr. Payne is an experienced fundraiser who has raised over $550 million in public and private equity, including $175 million+ in early stage venture capital raised from well-known venture firms and strategic investors. 

 

Mr. Payne also led as CEO the prosecution of four portfolios of issued and pending patents at the US Patent and Trademark Office and is the lead or co-inventor of multiple patents in those portfolios in Internet security, wireless messaging, mobile applications and social search.
